Terms of Use

Eligibility

To use the Service, you confirm that:

• You are at least 18 years old.
• You can form a binding contract with us and are not barred from using the Service under any applicable law.
• You will only create one personal account, for yourself, unless we agree otherwise in writing.

Your account

You can sign up with an email address and password or with a supported third-party sign-in, such as Google. Give us accurate information and keep it up to date.

Keep your credentials secure. You are responsible for all activity on your account. Tell us right away if you believe someone has accessed your account without permission.

We may refuse a registration, or suspend or close an account, as described in these Terms.

You can delete your account at any time. Deletion is permanent: your profile, messages and memories can no longer be recovered once the deletion is complete.

Private beta and invitations

Access to Mina is currently by invitation. Joining the waitlist does not guarantee access or a date of access.

Once you are in, you may invite your friends through the tools we provide. Only invite people you know, and never use invitations to send spam or unwanted messages.

Beta features are experimental. They may change, be limited or be removed at any time, and the Service may be interrupted while we improve it. We may end the beta or move to a generally available version with updated terms.

Your content

You keep ownership of the messages, photos, voice notes, files and other content you share on Mina (“User Content”).

You give Mina a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your User Content only as needed to operate, secure and improve the Service. This includes delivering your messages to the people in your conversations and processing content with Mina’s AI features when you use them.

This license ends when your User Content is deleted from the Service, except for copies we must keep for legal reasons or that remain for a limited time in backups.

You are responsible for your User Content. You confirm that you have the rights needed to share it, and that sharing it does not violate these Terms, our Community Guidelines or anyone else’s rights.

Mina, the AI assistant

Mina generates responses automatically using artificial intelligence. Responses can be inaccurate, incomplete, outdated or inappropriate, even when they sound confident. Check important information before you rely on it.

Mina is not a substitute for professional advice. Do not rely on Mina for medical, legal, financial or safety decisions, and never use it in an emergency. If you or someone else is in danger, contact your local emergency services.

Suggestions such as places, bookings, reminders or polls are proposals. You decide whether to act on them, and you are responsible for the actions you take.

Mina only reads a conversation when it has been added to that chat or when you ask it something directly. Each chat can set how present Mina is, from chiming in to answering only when mentioned, or staying quiet.

Mina can remember useful details across conversations. Shared memory can inform replies that everyone in a chat sees; private memory stays between you and Mina. Where these controls are available, you can review, correct and delete what Mina remembers.

You may use the content Mina generates for you, subject to these Terms and applicable law. Similar content may be generated for other people. You may not use the Service or its outputs to develop or train competing AI models.

Communications

We may send you messages about your account, your invitation and the Service, such as security alerts, confirmations and important updates. These are part of the Service.

If you turn on push notifications, we will notify you about new messages and activity. You can turn them off at any time in your browser, device or app settings.

We may also send you news about Mina. You can unsubscribe from these at any time using the link in the email.

Acceptable use

You agree to follow our Community Guidelines. In particular, you will not:

• Use the Service for anything illegal, or to promote illegal activity.
• Harass, threaten, bully, intimidate or harm anyone, or share content that sexualizes minors.
• Impersonate any person or organization, including Mina or our team, or misrepresent your identity.
• Send spam, run scams or phishing, or use invitations and chats for unsolicited promotion.
• Share other people’s private information without their permission.
• Upload viruses or malicious code, or interfere with the security or operation of the Service.
• Access the Service through automated means, scrape it, or create accounts in bulk.
• Copy, modify, reverse engineer or resell the Service, except where the law expressly allows it.
• Try to make Mina produce harmful, illegal or deceptive content, or bypass its safety measures and usage limits.

Reporting and enforcement

If you see something that breaks these Terms or our Community Guidelines, report it to contact@withmina.app. Our team reviews reports and may ask for more context.

We may remove content, limit features, or suspend or terminate accounts that violate these Terms, put others at risk or expose Mina to legal liability. Where appropriate and lawful, we will tell you what happened and why.

If you believe we made a mistake, you can appeal by writing to contact@withmina.app. We will review your appeal, although we may keep our decision.

Intellectual property

Mina, including its software, design, logos, orb, name and brand, belongs to us and our licensors and is protected by intellectual property laws. These Terms do not give you any right to use our name, logos or trademarks.

Subject to these Terms, we give you a personal, revocable, non-exclusive and non-transferable license to use the Service for your own, non-commercial purposes.

Copyright

We respect intellectual property rights and expect you to do the same. If you believe content on Mina infringes your copyright, follow the process in our DMCA Policy or write to contact@withmina.app.

We may remove infringing content and terminate the accounts of repeat infringers.

Feedback

We love hearing from beta users. If you send us ideas, suggestions or feedback, you allow us to use them freely, without any obligation or compensation to you.

Third-party services

The Service may let you sign in with, link to or use services provided by others, such as Google sign-in or links shared in a chat. These services have their own terms and privacy policies, and we are not responsible for them.

Fees

Mina is free during the private beta. If we introduce paid plans or features, we will tell you in advance and they will be subject to additional terms that you will need to accept before you are charged.

Service availability

We work hard to keep Mina running, but we do not guarantee that the Service will always be available, uninterrupted or error free. We may perform maintenance, and the Service may be affected by events outside our control.

We may decide in which countries the Service is available. Using VPNs, proxies or other methods to get around these restrictions may lead to your account being suspended or closed.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING MINA’S AI FEATURES AND ANY CONTENT THEY GENERATE, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

We are not responsible for the content that users share, or for their conduct on or off the Service.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow these exclusions or limitations. In those jurisdictions, our liability is limited to the maximum extent the law permits, and nothing in these Terms limits rights you have that cannot be waived.

Indemnity

To the extent permitted by law, you agree to defend and indemnify Mina and its team against any claims, damages, losses and expenses, including reasonable legal fees, arising from your User Content, your use of the Service or your violation of these Terms.

Suspension and termination

You can stop using Mina and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. The sections that by their nature should survive termination, including Your content, Intellectual property, Disclaimers, Limitation of liability, Indemnity and Disputes, will continue to apply.

Disputes

If you have a concern, contact us first at contact@withmina.app. Most issues can be resolved quickly and informally.

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict of laws rules. If you live outside the United States, you may also benefit from the mandatory consumer protection laws of your country of residence.

Any dispute that we cannot resolve informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small claims court or seek injunctive relief in a competent court. YOU AND MINA EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

If you live in the European Union, the United Kingdom or another country where this arbitration clause is not enforceable, it does not apply to you, and you may bring a claim before the courts of your country of residence.

Changes to these Terms

We may update these Terms to reflect changes to Mina or to the law. When we make material changes, we will notify you through the Service or by email before they take effect. If you keep using the Service after that date, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.

General

These Terms, together with the policies they reference, are the entire agreement between you and Mina about the Service. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours in connection with a merger, acquisition or sale of assets.
